Terms of Service

1. Acceptance of Terms

By signing up or using ECOTEN HARDWARE TRADING (“we”, “our”, or “us”), you (“user” or “you”) agree to be bound by these Terms of Service (“ToS”) and our Privacy Policy. If you do not agree, do not use the platform.

These Terms apply to all services, including AI-assisted short-form video ideation, editing and production, content calendar and performance features, and analytics.

2. Account Registration

• Users must register using a valid email address.
• You must be at least 18 years old to use the platform. Accounts for minors require a parent or legal guardian as the account holder.
• Only one account per email is allowed unless explicitly authorized.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity under your account, including actions by team members, contractors, or anyone you grant access to.
• You agree to provide accurate information and keep it updated.

3. Subscription & Free Plan

• New users may use a free plan with a limited monthly video allowance.
• Paid plans grant a monthly video production capacity as described on our pricing page. Unused videos do not roll over to the next month.
• Subscriptions auto-renew monthly until canceled.
• Early and waitlist pricing is subject to change before launch; we will honor the billing terms shown at checkout.

4. Your Content & Rights

• You retain ownership of the footage, images, recordings, brand materials, and ideas you upload or provide (“Your Content”).
• By uploading Your Content, you grant us a worldwide, non-exclusive license to host, process, transform, and render it as necessary to operate the platform and produce your videos.
• You represent and warrant that you own Your Content or have all rights, licenses, and consents needed to use it — including consent from any identifiable person appearing in your footage, and rights to any music, logos, or third-party material you provide.
• Media surfaced through the platform's search or stock features (including image-search results) may be protected by copyright or other rights. Verify the license permits your intended commercial use before publishing — search results are leads, not clearance.
• Pixabay and other stock media may be used only within their respective content licenses, including any prohibition on standalone redistribution outside your videos.
• Submit only websites, social accounts, and materials you own or are authorized to have analyzed or connected.
• Videos produced for you are yours to publish, subject to the rights of any third-party stock, music, or generative-media components included under their respective licenses.
• Music, stock footage, and other third-party components are provided as-is. We do not warrant that they are cleared for your specific commercial use, territory, or publishing platform — verify clearance before publishing.
• AI-generated elements carry no warranty of originality or exclusivity. Similar or identical outputs may be generated for other users, and AI-generated content may not qualify for intellectual-property protection in your jurisdiction.

5. Acceptable Use & Prohibited Conduct

You may not use the platform to:

• Upload content you do not own or lack rights to use
• Create videos featuring real people without their consent, or deceptive, defamatory, or misleading content
• Violate any applicable laws or regulations
• Abuse the platform, interfere with its operation, or harm other users
• Circumvent system limits or manipulate video usage

We reserve the right to suspend or terminate accounts that violate these rules.

6. Account Suspension & Termination

• We may suspend or terminate your account immediately for misuse, illegal activity, or breach of these ToS.
• Termination may include loss of unused videos or data, without refund.

7. AI Disclaimer

• The platform uses AI to generate ideas, edits, captions, graphics, and other video elements.
• AI outputs are estimates or suggestions and are not guaranteed to be accurate.
• Users are responsible for reviewing all AI-generated content before publishing.

8. Platform Changes & Downtime

• We may update, modify, or temporarily disable services for maintenance or improvement.
• We are not liable for service interruptions, data loss, or errors resulting from platform changes.

9. Governing Law

• These ToS are governed by the laws of Malaysia.
• Any disputes will be resolved under Malaysian jurisdiction exclusively.

10. Limitation of Liability for Client Disputes

• You acknowledge and agree that ECOTEN HARDWARE TRADING (Blue1.my) is merely a tool provider and is not a party to any agreement, dealing, or transaction between you and your audience, customers, or platforms.
• We shall not be liable for any disputes, claims, losses, injuries, or damage of any kind that may arise out of or in connection with content you create or publish using the platform, including but not limited to copyright or likeness claims, platform penalties, account bans, demonetization, reputational harm, public backlash, regulatory action in any jurisdiction, or loss of business.
• You agree to indemnify, defend, and hold harmless ECOTEN HARDWARE TRADING and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including legal fees and costs, arising out of or in any way connected with your content or your disputes with any third party — including viewers, depicted persons, platforms, and regulators — or your breach of these Terms.
• In no event shall our total aggregate liability for all claims exceed the total subscription fees paid by you to us during the three (3) months preceding the event giving rise to liability.

12. Beta / Pre-Release Service

• The platform is in active development and may be labeled as beta, early access, or waitlist. Features, workflows, video capacity, and pricing may change without notice.
• Beta and early-access services are provided as-is, with no uptime, availability, or service-level commitment.

13. General Provisions

• Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your account or rights without our written consent.
• Force Majeure: We are not liable for failure to perform due to events beyond our reasonable control, including outages of third-party infrastructure, AI providers, or social platforms.
• Entire Agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, AI Usage Disclaimer, and Refund & Cancellation Policy, constitute the entire agreement between you and us regarding the platform.

14. Third-Party Data & Research

• Market, social, and website research features draw on public sources and third-party data providers. Such data may be incomplete, outdated, or blocked by the source at any time.
• We do not warrant the accuracy, availability, or legality of third-party data, and we are not liable for actions taken by third-party providers or source platforms.
• You must independently verify research outputs before relying on them, and you remain responsible for complying with the terms of any connected platform.
